1. About these Terms

3. Informational content

Website content is provided for general informational and commercial evaluation purposes. Product categories, capabilities, process descriptions, images, articles, and examples do not constitute a quotation, specification, warranty, certification, regulatory approval, capacity reservation, or promise that a particular project will be accepted.

4. Enquiries do not create a contract

Submitting an enquiry, booking a consultation, requesting a sample, sharing a brief, or discussing a project does not create a manufacturing commitment, agency relationship, fiduciary relationship, exclusivity arrangement, quotation, capacity reservation, purchase order, or other binding commercial relationship. A project becomes binding only through an applicable written agreement, accepted quotation, accepted purchase order, invoice terms, statement of work, development agreement, manufacturing agreement, or other document accepted by authorized representatives of the parties.

5. Quotations and project documents

Quotations and proposals are based on the information available when issued. Unless expressly stated otherwise, pricing, material availability, packaging, freight, testing, capacity, and timing may change before acceptance or when the project scope changes. Project specific documents control over these website Terms if there is a conflict regarding formulation, manufacturing, testing, pricing, payment, delivery, intellectual property, confidentiality, quality, inspection, returns, or liability.

6. Information supplied by clients

You are responsible for providing complete, accurate, and lawful information about your company, product, intended market, claims, ingredients, exclusions, packaging, artwork, trademarks, formulas, target volume, target cost, and launch date. Grass-Fed Essentials may rely on information supplied by you. You must promptly disclose changes that may affect feasibility, safety, compliance, cost, timing, or production.

7. Client materials and intellectual property

You represent that you have the necessary rights to provide and authorize the use of any formula, trademark, product name, artwork, packaging design, image, copy, confidential information, benchmark, data, or other material submitted to Grass-Fed Essentials. You must not request Grass-Fed Essentials to copy proprietary material, infringe third party rights, make deceptive claims, or produce unlawful products.

8. Samples and development work

Samples, prototypes, pilot batches, and development materials are supplied for evaluation under the applicable project terms. They are not automatically approved for sale, consumer distribution, final claims, shelf life, regulatory compliance, or commercial production. Feedback, sample rounds, formula changes, testing, packaging, ownership, and development fees are governed by the applicable proposal or development agreement.

9. Formula ownership and exclusivity

Formula ownership is not determined by the use of terms such as white label, private label, or custom. Ownership, license rights, background intellectual property, exclusivity, manufacturing rights, transfer rights, and permitted uses must be stated in the applicable written agreement. Unless expressly agreed otherwise, access to a sample or purchase of a product does not transfer ownership of the underlying formula, process, method, specification, know how, or manufacturing documentation.

10. Packaging, artwork, labels, and claims

You are responsible for final approval of packaging, artwork, trademarks, barcodes, ingredient declarations, directions, warnings, net contents, responsible party information, country of origin, environmental statements, sourcing claims, cosmetic claims, advertising claims, and market specific legal requirements unless a signed agreement assigns a specific responsibility differently. Grass-Fed Essentials may provide technical information or comments, but such support does not replace qualified legal or regulatory review.

11. Regulatory responsibilities

Each party is responsible for the legal and regulatory obligations assigned to it by applicable law and the written project documents. Responsibilities may include facility registration, product listing, safety substantiation, serious adverse event reporting, records, labeling, import requirements, responsible person functions, and claim support. No website statement should be interpreted as a representation that a cosmetic product is FDA approved or that a particular project satisfies every requirement in every market.

12. Manufacturing and reasonable variation

Cosmetic products and natural raw materials may show reasonable variation within the approved specification, including variation in color, odor, texture, appearance, viscosity, fill, or physical behavior. The applicable specification and acceptance criteria control. Changes, deviations, substitutions, and nonconformities are handled according to the applicable manufacturing and quality documents.

13. Timelines and delays

Any date stated before final project acceptance is an estimate unless expressly guaranteed in writing. Timing may be affected by approvals, testing, material supply, packaging, artwork, carrier delays, labor, equipment, weather, governmental action, force majeure, or client changes. Grass-Fed Essentials is not responsible for delay caused by events beyond its reasonable control, subject to applicable law and the project agreement.

14. Pricing, payment, taxes, and storage

Pricing, deposits, milestone payments, final payment, taxes, freight, insurance, storage charges, late fees, cancellation charges, and refund eligibility are governed by the accepted quotation, invoice, purchase order, or project agreement. You are responsible for applicable taxes, duties, customs charges, broker fees, and similar charges unless the written commercial terms state otherwise.

15. Shipping, delivery, and risk

Carrier selection, freight terms, delivery point, title, risk of loss, insurance, inspection, damage claims, export documents, customs, and destination compliance are governed by the project documents and applicable shipping terms. You must inspect deliveries promptly and report shortage, visible damage, or alleged nonconformity within the period stated in the applicable agreement.

16. Storage and handling after delivery

You are responsible for storing, handling, rotating, transporting, and using delivered materials and products according to the supplied instructions and good commercial practice. Grass-Fed Essentials is not responsible for deterioration, contamination, or damage caused after risk has transferred due to improper storage, handling, repacking, relabeling, transport, or use.

17. Confidentiality

Confidential information is governed by any applicable nondisclosure agreement or project agreement. Website submission alone does not create a confidentiality obligation beyond applicable law and the published Privacy Policy. Do not submit trade secrets or highly sensitive information through a general website form unless an appropriate confidentiality agreement and secure method have been established.

18. Website intellectual property

The website and its original content are owned by or licensed to Grass-Fed Essentials and are protected by applicable intellectual property laws. Nothing in this section limits an express warranty contained in a separate signed project agreement.

23. Limitation of liability

To the maximum extent permitted by applicable law, Grass-Fed Essentials will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from website use, loss of data, loss of opportunity, reliance on informational content, or third party services. Any project related liability is governed by the applicable signed commercial agreement. This limitation does not exclude liability that cannot lawfully be excluded.

24. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Grass-Fed Essentials and its personnel from third party claims arising from your unlawful website use, infringement by materials you supply, unauthorized claims, misleading artwork, breach of these Terms, or violation of applicable law, subject to the procedures and limitations in any applicable signed agreement.

25. Governing law and venue
